Skydance Corporation has finalized its monumental Warner Bros. Discovery acquisition, an $81 billion deal. This move creates a new entertainment behemoth under billionaire David Ellison’s leadership. The hostile takeover concluded after months of intense negotiations and overcoming several obstacles.
Paramount, owned by Skydance, completed the purchase on Tuesday. The total transaction value reached approximately $81 billion. Moreover, including Warner Bros. Discovery’s inherited debts, the total cost approached $111 billion.
This significant merger unites two of America’s oldest filmmaking studios. The newly formed entity will operate as Skydance Corporation. Billionaire investor David Ellison spearheaded the initiative, first acquiring Paramount and its subsidiaries. Subsequently, he targeted the much larger Warner Bros. Discovery.
Ellison’s ambitious bid encountered fierce competition. Netflix, for instance, engaged in a spirited bidding war. Later, the acquisition also faced rigorous scrutiny from US regulators and politicians. However, the deal ultimately received final approval.
“Today is a historic day,” Ellison stated. He added that it marked a significant milestone not just for Skydance, but for the entire industry. Skydance shares, under the ticker SKYD, began trading on the New York Stock Exchange this Tuesday. Meanwhile, Warner Bros. Discovery shareholders will receive approximately $31 per share.
The transaction closed less than a week after a federal judge in California approved a settlement. This agreement resolved antitrust lawsuits brought by 12 US states. Beyond the iconic Paramount Pictures and Warner Bros. Pictures film studios, the deal also unites major news networks CBS News and CNN. Furthermore, it combines the prominent television brands HBO and CBS. Ellison plans to merge the subscription streaming platforms, Paramount+ and HBO Max.
Ellison will serve as the new company’s chairman and chief executive officer. Former Mattel boss Ynon Kreiz will co-lead operations as co-CEO, managing daily affairs. Skydance Corporation anticipates an estimated total annual revenue of around $70 billion. Management is targeting substantial cost savings of roughly $6 billion within three years. These efficiencies will stem from leveraging overlaps created by this extensive Warner Bros. Discovery acquisition.
